Welcome to Component Bar Products, LLC (“CBP”). The following Terms and Conditions apply to all Purchase Orders issued by CBP and govern all supplier relationships and transactions. By accepting a Purchase Order, the supplier acknowledges and agrees to comply with the terms outlined herein.
Terms of Purchase
- Quality Management System:
Suppliers must maintain a Quality Management System that ensures all products and services meet the specifications and requirements outlined in the Purchase Order. - Notification of Changes:
Suppliers are required to inform CBP of any changes to their Quality Management System or any alterations to their certifications that could affect the quality or compliance of the order. - Test Reports or Compliance Certificates:
Each delivery must be accompanied by a Test Report or Certificate of Compliance, verifying that all standards referenced in the order are fully met. - Non-Conforming Products:
Suppliers must immediately notify CBP upon discovery of any non-conforming product related to a Purchase Order. - Special Processes and Record Retention:
Special process suppliers must use qualified personnel for all operations and retain process, inspection, and test records for a minimum of three (3) years. These records must be available for CBP review upon request. - Responsibility for Non-Conformance Costs:
Suppliers are liable for all costs associated with product or service non-conformities, including corrective actions and damages. - Subcontracting Restrictions:
No part of the order may be subcontracted without prior written approval from CBP. - Flow-Down Requirements:
Suppliers must communicate and enforce all applicable order requirements to approved subcontractors to ensure continued compliance. - Product, Process, and Facility Changes:
Suppliers agree to inform CBP of any changes in product, process, location, or organizational structure that may affect quality or delivery. - Terms Revisions:
Suppliers are responsible for periodically reviewing CBP’s Terms and Conditions. CBP reserves the right to revise these terms without prior notification. - Payment Terms:
CBP’s standard payment terms are Net 45 from the date of invoice, unless otherwise agreed upon in writing. - Employee Awareness and Ethical Conduct:
Suppliers are required to ensure their employees understand the importance of:- Product and service conformity
- Product safety
- Ethical behavior
Supplier Code of Conduct
CBP is committed to responsible sourcing and ethical business practices. All suppliers must adhere to the following standards:
Ethical Business Practices
- Comply with all applicable local, national, and international laws and regulations.
- Prohibit bribery, corruption, and all unethical financial practices.
- Promote fair competition and avoid conflicts of interest.
Labor and Human Rights
- Strictly prohibit forced, child, or involuntary labor.
- Ensure fair wages, lawful working hours, and benefits.
- Maintain a safe, respectful, and inclusive workplace free from discrimination.
Health and Safety
- Maintain a safe work environment with proper safety measures, ventilation, machine guarding, and personal protective equipment (PPE).
- Implement specific protocols for hazardous material handling.
- Provide regular safety training and ensure emergency preparedness.
Environmental Responsibility
- Comply with environmental regulations on waste disposal, emissions, and chemical usage.
- Minimize environmental impact through resource efficiency.
- Properly manage and dispose of hazardous materials.
Quality and Operational Standards
- Meet all agreed specifications and industry standards.
- Use certified and traceable materials.
- Ensure timely delivery and maintain clear, proactive communication.
Supply Chain Responsibility
- Hold subcontractors and secondary suppliers to the same ethical and operational standards.
- Avoid sourcing materials from unethical or unsustainable sources.
Confidentiality and Intellectual Property
- Protect CBP’s proprietary information, designs, and data.
- Do not disclose or misuse sensitive information without prior authorization.
Monitoring and Compliance
- Allow audits or assessments to verify compliance.
- Commit to timely corrective action in case of violations.
- Provide regular updates on environmental, safety, and labor practices.
Sustainability and Innovation
- Support eco-friendly technologies and practices.
- Embrace continuous improvement in quality, efficiency, and environmental performance.
